L&E RESEARCH REFER A FRIEND AGREEMENT
By sharing your unique URL (“Referral URL”), you agree to the terms of this contract between you (“Referrer”) and L&E Research (“L&E”) and its successors or assignees with its principal place of business at 5505 Creedmoor Road, Suite 200, Raleigh, NC 27612.
L&E offers a Refer A Friend Program (“Referral Program”) to reward members, increase brand awareness and drive sign ups of new members. Under the Referral Program, the Referrer will be assigned a unique Referral URL that offers its contacts various promotional offers. This unique URL can be shared with friends and family via email, social media and web. When an individual signs up in the database through the Referral URL, it will be deemed a referral conversion (“Referral Conversion”). The Referrer will be compensated according to the current promotional offer.
1. REFERRAL CONVERSION CRITERIA
Referrer shall not promote any Referral Conversion that are not in good faith, including, but not limited to, using any device, program, robot, Iframes, or hidden frames.
Mass distribution of Referral URLs are not allowed and are considered fraudulent. You may not place Referral URLs on/in third party newsgroups, message boards, blogs, unsolicited email and other types of spam.
Self referrals, cross referrals and fraudulent referrals are not allowed. Referrers will not be compensated for Referral Conversions where the Referrer is the individual entering the code. Multiple Referral Conversions from the same individual, entity or IP address may be considered fraudulent and will not be compensated.
Referral Conversions from fraudulent tactics will not be fulfilled, and the referrals will be canceled.
Fraudulent activities will result in a termination of status, and fraudulent conversions will not be compensated. Any referrals accumulated fraudulently will be removed from the Referrers account.
Members and Referrals must remain in good standing with L&E Research during reward period.
2. COMPENSATION
Depending on the current promotion, Referrers can be rewarded in any of the following formats. The details of these compensation formats may be changed or removed at any time by L&E.
Rewards
L&E may pay the Referrer Rewards (specific amount of rewards determined by current promotion) for each Referral Conversion that is redeemed using the Referrers’s Referral URL. Referral Conversions are based on total referrals per month, not lifetime number of referrals. The Referrer will receive L&E Rewards to be spent on various gift cards offered by L&E.
3. DATA OWNERSHIP
All information provided during a Referral Conversion will be the sole and exclusive property of L&E, and this information will not be made available to Referrer.
4. TERMINATION
L&E may terminate or change this Agreement at its convenience and without any breach by Ambassador.
5. GENERAL PROVISIONS
a. Governing Law. This Agreement will be governed and construed in accordance with the laws of the State of North Carolina as applied to transactions taking place wholly within North Carolina between North Carolina residents. Referrers hereby expressly consents to the personal jurisdiction of the state and federal courts located in Raleigh, North Carolina for any lawsuit filed there against Referrer by L&E arising from or related to this Agreement.
b. Severability. In case any one or more of the provisions contained in this Agreement shall, for any reason, be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect the other provisions of this Agreement, and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. If moreover, any one or more of the provisions contained in this Agreement shall for any reason be held to be excessively broad as to duration, geographical scope, activity or subject, it shall be construed by limiting and reducing it, so as to be enforceable to the extent compatible with the applicable law as it shall then appear.
